NinjaSaaS Software Licence Agreement

This licence covers the NinjaSaaS source code and accompanying materials (together, the "Software") supplied by Anand R Nair, trading as Twiinix, Trivandrum, Kerala, India (the "Licensor"). By buying or downloading the Software you (the "Licensee") agree to these terms.

1. Licence grant

Subject to the terms below and payment of the applicable fee, Licensor grants Licensee a perpetual, worldwide, non-exclusive, non-transferable, non-sublicensable licence to:

  • download and access the full source code of the Software;
  • modify, extend, and build on the Software to create commercial or non-commercial products, applications, and services ("Derivative Products");
  • deploy and distribute Derivative Products to an unlimited number of end users;
  • use the Software for an unlimited number of projects and client engagements by the Licensee, subject to the tier purchased (see section 2).

2. Tiers

The tier you purchased on Gumroad determines who can use the Software:

  • Personal tier ($79): one named individual developer may use the Software on personal and client projects. Extra seats require additional Personal tiers or a Team tier.
  • Team tier ($149): up to 10 developers within the Licensee's organisation may use the Software on unlimited projects.
  • Agency tier ($299): an unlimited number of developers within the Licensee's organisation may use the Software, including for white-label client work, subject to the restrictions below.

3. Restrictions

Licensee must not:

  • Resell or redistribute the Software itself, whether modified or not, as a boilerplate, template, starter kit, or similar product. Building and shipping Derivative Products to end users is fine — re-selling the boilerplate is not.
  • Publish or make the source code of the Software publicly available (e.g. on a public GitHub repository, a file share, or a torrent). Private repositories, client deliverables, and internal version control are fine.
  • Remove or alter copyright, trademark, or attribution notices in the source code, except where expressly permitted in the README.
  • Use the Software to train a model or build a competing boilerplate or SaaS-scaffold product.
  • Use the Licensor's name, "Twiinix", or "NinjaSaaS" as the name or trademark of your own product.

4. Ownership

The Software is licensed, not sold. Licensor retains all intellectual property rights in the Software, including in updates Licensee receives. Licensee owns the copyright in its own original contributions to Derivative Products.

5. Updates and support

Licensor may, at its discretion, provide updates to the Software through Gumroad. Updates are covered by this licence without an additional fee. Bug-fix and support commitments, if any, are listed on the Gumroad product page at the time of purchase.

6. Warranty disclaimer

The Software is provided as is and as available, without warranties of any kind, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent allowed by law.

7. Limitation of liability

To the maximum extent allowed by law, Licensor's total aggregate liability under or in connection with this licence is limited to the fee Licensee paid for the Software. Licensor is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data.

8. Indemnity by Licensee

Licensee will defend and indemnify Licensor against third-party claims arising from Licensee's Derivative Products or from Licensee's breach of this licence.

9. Termination

Licensor may terminate this licence immediately if Licensee materially breaches it and does not cure the breach within 14 days of notice. On termination:

  • Licensee must stop using the Software and destroy all copies;
  • Derivative Products already shipped to end users can continue to be used by those end users;
  • the limitation of liability and ownership clauses survive.

10. Governing law

This licence is governed by the laws of India. The courts of Trivandrum, Kerala, India have exclusive jurisdiction, except that Licensor may seek urgent injunctive relief in any competent court.
